Terms and Conditions

These Terms and Conditions (“Agreement”) govern the provision of digital marketing services (“Services”) by SomeWhrr (“we,” “our,” “us”) to the client (“Client,” “you,” “your”). By engaging our Services, you agree to be bound by these terms.
1. Definitions
Services: The digital marketing services provided by us, including but not limited to SEO, PPC, social media marketing, content creation, and web development.
Contract: The agreement formed between us and the Client upon acceptance of a proposal or commencement of Services.
Deliverables: The tangible or intangible outputs produced as part of the Services.
2. Agreement Formation
2.1. A Contract is formed when we accept your order in writing or commence the Services.
2.2. These Terms supersede any prior agreements or understandings, unless expressly agreed upon in writing.
3. Client Obligations
3.1. Provide accurate and timely information necessary for the execution of Services.
3.2. Ensure that all content provided does not infringe on third-party rights and complies with applicable laws.
3.3. Make timely payments as outlined in the Contract.
4. Fees and Payment
4.1. Fees for Services are specified in the Contract or proposal.
4.2. Payments are due as per the agreed schedule. Late payments may incur interest charges.
4.3. All fees are exclusive of VAT, which will be charged where applicable.
5. Intellectual Property
5.1. Upon full payment, ownership of Deliverables transfers to the Client, subject to any third-party rights.
5.2. We retain the right to use non-confidential aspects of the Deliverables for promotional purposes.
6. Confidentiality
6.1. Both parties agree to maintain the confidentiality of proprietary information.
6.2. This obligation continues post-termination of the Contract.
7. Limitation of Liability
7.1. Our liability is limited to the total fees paid by the Client under this Agreement.
7.2. We are not liable for indirect or consequential losses.
8. Termination
8.1. Either party may terminate the Contract with written notice if the other party breaches its obligations and fails to remedy within 30 days.
8.2. Upon termination, the Client must pay for Services rendered up to the termination date.
9. Data Protection
9.1. We will process personal data in accordance with applicable data protection laws.
9.2. Both parties agree to comply with the UK Data Protection Act 2018 and GDPR.
10. Governing Law and Jurisdiction
10.1. This Agreement is governed by the laws of England and Wales.
10.2. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
11. Miscellaneous
11.1. Force Majeure: Neither party is liable for failure to perform due to circumstances beyond their control.
11.2. Severability: If any provision is found to be invalid, the remainder of the Agreement remains in effect.
11.3. Entire Agreement: This Agreement constitutes the entire understanding between the parties.
